The rights and obligations of shareholders

 

 Shareholders - the holders of ordinary shares are entitled to:

 • Participate in person or through representatives in the General Meeting of Shareholders to vote on all matters within its competence;

 • make proposals to the agenda of the General Assembly in accordance with the legislation of the Russian Federation and the Charter;

 • obtain information about the activities of the Company and the documents of the Company in accordance with Article 91 of the Federal Law "On Joint Stock Companies", other normative legal acts and the Constitution;

 • to receive dividends declared by the Company;

 • pre-emption to be placed through subscription of additional shares and securities convertible into shares, in proportion to the number of ordinary shares held by them, in cases stipulated by legislation of the Russian Federation;

 • In the event of liquidation of the Company to receive a portion of its assets;

 • exercise other rights stipulated by the legislation of the Russian Federation and the Charter.

 

Shareholder (s) owning in the aggregate ten percent or more of the share capital of the Company shall have the right to request a separate audit of the Company the Company's auditor.

 

Shareholders of the Company shall:

 • pay them placed by the Company purchased equity securities in the manner, size, shape and in terms defined by the Constitution and the decision to place these securities;

 • Do not disclose confidential information about the activities of the Company;

 • Perform other duties as stipulated by the legislation of the Russian Federation, the Charter of the Company, as well as decisions of the General Meeting of Shareholders adopted in accordance with its competence.
